Terms of Service

The Application provides an integration between QuickBooks Online and Financebook.
Its primary purpose is to synchronize invoice information between the systems.

Depending on your configuration, the Application may:
• Retrieve invoice information from QuickBooks Online;
• Create invoice records in  Financebook
• Update invoice records in  Financebook
• Create or update invoices in QuickBooks Online;
• Synchronize changes between the systems;
• Maintain information necessary to identify corresponding records between the systems.

To use the QuickBooks Online integration, you must authorize the Application to access your QuickBooks Online company.

Authorization is performed through Intuit’s OAuth 2.0 authorization process.

You remain responsible for ensuring that you have the appropriate authority to connect the QuickBooks Online company and authorize access to its data.

We will only access the QuickBooks Online information for which you have authorized the Application.

You are responsible for:

• Providing accurate information when using the Application;
• Maintaining appropriate access controls for your Application account;
• Ensuring that you have authority to access and synchronize the connected QuickBooks Online company;
• Reviewing synchronized invoice information;
• Ensuring that invoices and other accounting information are accurate;
• Complying with applicable accounting, tax, financial, and other legal requirements.

The Application is a software integration tool and does not provide accounting, tax, legal, or financial advice.

Because the Application synchronizes information between separate systems, synchronization may occasionally be delayed, interrupted, or fail.

You acknowledge that:

• Synchronization may not always occur immediately;
• Network, API, authentication, configuration, or system failures may prevent synchronization;
• Changes made independently in either connected system may result in differences between systems;
• You are responsible for reviewing important financial and accounting information.

You should not rely solely on the Application to verify the accuracy or completeness of your accounting records.

The Application accesses QuickBooks Online data only to provide its stated functionality.
We will not intentionally use QuickBooks Online data for purposes unrelated to the Application’s invoice synchronization functionality.

The Application integrates with QuickBooks Online, which is provided by Intuit.

Your use of QuickBooks Online is subject to Intuit’s applicable terms, policies, and agreements.

We are not responsible for the availability, functionality, security, or performance of QuickBooks Online or other third-party services.

Changes to third-party APIs or services may affect the functionality of the Application.

We will make reasonable efforts to keep the Application available and operational.
However, we do not guarantee that the Application will be available continuously or without interruption.

The Application may be temporarily unavailable because of:

• Maintenance;
• Software updates;
• Infrastructure failures;
• Network failures;
• Security incidents;
• Changes or outages affecting third-party services;
•  Circumstances beyond our reasonable control

We implement reasonable technical and organizational measures designed to protect information processed through the Application.

However, no software, network, or Internet transmission can be guaranteed to be completely secure.

You are responsible for maintaining the security of your own accounts, credentials, devices, and systems used to access the Application.

The Application, including its software, interfaces, documentation, design, and associated intellectual property, is owned by or licensed to Lotus Studio Pvt. Ltd..

Except as expressly permitted by these Terms, you may not copy, modify, distribute, reverse engineer, or create derivative works from the Application.

You retain ownership of your business and accounting data.

We may suspend or terminate access to the Application where reasonably necessary to:

• Protect the security of the Application;
• Prevent misuse;
• Comply with applicable law;
• Respond to a security incident;
• Address a violation of these Terms.

You may stop using the Application at any time.
You may also disconnect your QuickBooks Online company from the Application.

Following disconnection, the Application will stop accessing new QuickBooks Online data associated with the disconnected company.
Data retention following disconnection is described in our Privacy Policy.

To the maximum extent permitted by applicable law, the Application is provided on an “as is” and “as available” basis.

We do not warrant that:

• The Application will operate without interruption;
• Synchronization will always be immediate;
• All synchronized data will be error-free;
• The Application will meet every particular business or accounting requirement.

The Application does not replace professional accounting, tax, legal, or financial advice.

To the maximum extent permitted by applicable law, Lotus Studio Pvt. Ltd. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, or data arising from or related to your use of the Application.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

We may update these Terms from time to time.

When we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice.

Your continued use of the Application after an updated version becomes effective constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Bhutan, without regard to its conflict-of-law provisions.

Any disputes relating to these Terms will be subject to the jurisdiction of the courts of Bhutan, unless applicable law requires otherwise.
